英文契約書の助動詞「shall、may、should、must、can、will」をわかりやすく解説します
shall
"shall"は通常の使われ方では「～するべき」という、一定の指針を表しますが、英文契約書では「義務」を意味します。
語訳としましては、「しなけ ればならない」と表現されます。
ですので、当事者の義務については、shallが用いられ、強制的意味を文章に付与します。
同じ表現としては、"be under the obligation to"，"be to"，"agree to"，"be obligated to"，"be liable to"，"be responsible to"などがあります。
反対に、「してはならない」等の禁止を表す場合には、"shall not"が使われます。

①販売店は、製品の購入者に対し、仕様書に基づいて、製品の使用方法に関する適切な指示を与える。
②ライセンシーは、ライセンサーの事前の書面の同意なしに、契約もしくは その一部または契約上の権利もしくは義務を譲渡してはならない。
may
"may"は、通常の使われ方では、「～が許されている」という許可を表しますが、英文契約書では、「～できる」として、当事者の「権利」を表します。
権利を表す同意の表現に"(shall) have the right to"や"be entitled to"があります。
shallが当事者の義務を表すのに対し、mayは当事者の権利を表す表現となります。
推量の意味では、あまり使われることはなく、as the case may beとして、事情に応じて、等の場合にのみ使用されます。
反対に「権利がない」場合には、"may not"が使われます。

①This Agreement may be amended only by a written instru- ment signed by the duly authorized representatives of both parties.
②The price referred to in Schedule 1 attached hereto may be varied by ABC atthe expiration of each year of the term hereof by ABC, providing to XYZ written notice of such variation.

◆日本語例文・読み方
①本契約は、両当事者の正当な権限を有する代表者の署名が記された文書に よってのみ修正することができる。
②ABCは、契約期間中の各契約年度末に、XYZに価格改定を書面で通知し て、本契約書の添付書類Iに記載する価格を改定することができる。
③契約が終了した場合、以降いずれの当事者も他方当事者に対して何の義務 も負わない。
will
"will"は、通常の使われ方では、未来への意思、を表しますが、英文契約書でも同じような使用がなされています。
そして、レターオブインテント等の中で、当事者の義務とまでは表現したくないときに、willを用いて、少し曖昧に表現する場合もあります。
また、英文契約書中でshallの代わりに全てwillが使用されている場合には、作成者の意思としては、義務を表すと考えられます。
ですが、出来れば、shallに統一して作成すべきと言えます。

① ABC will promptly notify XYZ of any changes described in the preceding Article, and will endeavor to make XYZ aware of ongoing developments and future products which may be appropriate for sale in Territory.

should
shouldの通常の使われ方は、shallの過去形、又は、「するべき」という丁寧な表現になります。
英文契約書では、出来る限り確定的な表現を用いるべきであり、shouldは仮定的な意味が含まれることから、出来る限り使わない方が解釈に混乱をもたらさないので、良いといえます。

◆日本語例文・読み方

must
"must"の通常の使われ方は、「しなければいけない」として、義務、強制を表します。
英文契約書では、「条件」を定めるときに使用されます。
例えば、「広告費の補助を受けるためには、一定以上の売り上げを挙げなければならない。」等です。
