英文契約書で使用されるラテン語「pro rata」「proviso」「vice versa」「in lieu of」「per annum」をわかりやすく解説します
「pro rata」
◆pro rataは、ラテン語で、「比例して」という意味です。
たとえば、雇用契約上で、取締役に任命された者への給与とは別に、会社の売り上げに比例してボーナスが支払われる場合等に使われます。

The dividend shall be paid pro rata to the number of shares owned by the stockholders.
◆日本語例文・読み方
配当金は、株主の持株数に応じて支払われる。
「proviso」
■"proviso"は、「但し書き」や「条件」を表す語句です。
"Subject to the proviso of the Agreement"などと使われます。
「vice versa」
■"vice versa"は、ラテン語で、「逆も同じ」という意味です。
現在では、英語に吸収されて、ネイティブの方も良く使います。

会話で使用することは稀です。

interest rate(p.a)などと、短縮されます。
