英文契約書の「liable」と「responsible」に差はあるかをわかりやすく解説します
liableとは
liableは、法律的な責任を表す場合に用いられます。
responsibleとは
responsibleは、一般的な責任を負う場合に用いられます。
liableとresponsibleの差
liable,responsibleの語句の意味は、責任、という意味にあります。
最近では、英文契約書上での使用において、二つの用語の差は少なくなってきています。
◆英語の例文・書き方
（1）ABC is responsible for the maintenance of the building.
(2) Responsible officers shall decide the business of the Com pany in accordance with the provisions of its regulations.
（３） In the event of assignment of this Agreement or any right hereunder or delegation of the obligations hereunder,the assigning or delegating party shall remain liable to the other party and shall not be relieved of any obligation hereunder.
（４） In no event shall ABC be responsible or liable for any damage to the Products occurring in transit.
Any claim for such damage shall be directly made by XYZ againstthe carrier or an insurance company.

①ABCは、建物の管理責任を負う。
