indemnifyの意味
"indemnify"は、相手方に生じる損失について、補償するという意味です。
補償とは、減損した分を補うという意味合いです。
hold harmlessの意味
それに対して、"hold harmless"は、直訳すると、相手方を傷つけないように保つ、となりますので、そもそも損失や損害を相手方に負わせないという意味合いになります。
indemnifyとhold harmlessの違い
二つの語句の違いは、そもそもの損失の帰属からの違いに現れます。
indemnifyは損失の穴埋めで、hold harmlessは相手方に損失を負わせないということです。
担保責任や賠償責任の分担を明確にするために使用されます。
