英文契約書の英語 「best efforts/best endeavors」
◆best efforts/best endeavorsは、努力義務を定める時に使用されます。
"without commitment"と似た表現で、最善を尽くす、という意味です。
義務レベルにするのを避けるという意味で、この語句を使用するときがありますが、それには少し注意が必要です。
それは、努力義務といっても、最善の努力が必要であり、具体的にどのような努力をしたかを裁判上では明確に問われるからです。
