英文契約書の「Notwithstanding」を「provided, however, that」との違いを含めわかりやすく解説します
「Notwithstanding」の意味
「Notwithstanding」は、「にもかかわらず」という意味です。
英語自体の感覚的表現としましては、先の文とは「並立しない」という感じです。
「Notwithstanding」を使う場合
英文契約書では、直前の文の例外的な内容を記載する場合に用いられます。
たとえば「Notwithstanding the foregoing，…」といえば、「前記にもかかわらず」という意味ですし、「Notwithstanding the provision of Article10，…」と記載されていれば、「第10条の定めにもかかわらず」 という意味になります。
「provided, however, that」との違い
但し書きとして英文契約書上でよく使用される「provided, however, that」と同様の働きがあるといえますが、こちらの「provided, however, that」は英文契約書上であまり多様すべきでなく、内容に即した書き方を覚えるほうが良いと言われております。

①Notwithstanding the foregoing,this Indemnity shall absolutely determine upon Miki's voluntary retirement from or otherwise ceasing to act as Director of JEX.
